Terms and Conditions
Effective from 3rd August 2026
These terms apply to work carried out by Julia Reedshaw, operating as Purple Violet Business Support. They should be read alongside the signed Business Agreement, Statement of Work, Access to Work agreement, Data Processing Agreement or written proposal agreed with the client.
A signed Business Agreement is required before work starts with a new client. Where a signed Business Agreement, Statement of Work, Access to Work agreement or Data Processing Agreement contains more specific terms for a client or project, those specific terms will apply to that client or project.
1. Acceptance Of Booking
Bookings will be confirmed in writing after the client and Purple Violet Business Support have agreed the work, support required, fees and payment arrangements.
A signed Business Agreement is required before work begins with a new client. A virtual signature may be used and recognised. The Business Agreement, Statement of Work and these terms set out the agreed work, services and payment arrangements between the client and Purple Violet Business Support.
A deposit, advance payment or payment in full may be required before work begins. Work will not start until any agreed advance payment has been received.
2. Services Covered
Purple Violet Business Support provides specialist business support for neurodivergent business owners, including support with focus, planning, organisation, admin, inbox tasks, follow-ups, content tasks and Access to Work support.
The exact services, hours, deliverables, timescales and payment terms will be agreed in writing before work begins. This may be through a Business Agreement, Statement of Work, written proposal, email confirmation or Access to Work agreement.
3. Rates And Pricing
Purple Violet Business Support is not currently VAT registered.
Current standard pricing starts from £40 per hour, unless a different rate, package price or fixed fee is agreed in writing.
Focus & Accountability Support, Sift & Sort Inbox Clear-Up, Access to Work support, retainers, block bookings and fixed-fee projects will be charged at the price agreed in writing before work begins.
The agreed price may be set out on the relevant website service page, proposal, invoice, Business Agreement, Access to Work award or Statement of Work.
Hourly business support has a minimum charge of 2 hours, unless agreed otherwise in writing. Fixed-fee services and individual sessions are charged as agreed before work begins.
Additional hours required outside an agreed retainer, block booking or project will be charged from £40 per hour, unless another rate has been agreed in writing.
Fast-track or urgent work may incur an additional fee of £50 or a 50% increase to the relevant invoice, whichever is higher. Work requested outside normal office hours may also be charged at an additional 50% of the agreed fee.
Purple Violet Business Support may update pricing from time to time. Existing clients will be given reasonable notice of any rate changes that affect ongoing work.
4. Retainers, Monthly Support And Block Bookings
Monthly retainers and block bookings are paid in advance. They reserve time in Purple Violet Business Support’s diary and give the client agreed access to support during that month or agreed period.
Unused retainer hours cannot be carried over to the following month and monetary refunds are not provided, unless otherwise agreed in writing. This is because the retainer reserves availability for the client.
If the client is unavailable, on holiday or chooses not to use the reserved time, the time will still be treated as reserved. If Purple Violet Business Support is unavailable, reasonable efforts will be made to rearrange the time or agree an appropriate adjustment.
Either party may end an ongoing retainer or monthly support arrangement by giving 28 days’ written notice, unless a different notice period has been agreed in the Business Agreement or Statement of Work.
Where a retainer or block booking has been used in full, the client may choose to purchase further hours, move to ad hoc hourly support or agree a new support arrangement.
5. Focus And Accountability Sessions
Focus & Accountability Support is practical business support. It is not medical, therapeutic, coaching, counselling, clinical, legal, financial or tax advice.
Focus 60 and Focus 90 sessions are paid in advance. Sessions may be used for planning, prioritising, body doubling, decision support, breaking tasks down, getting started or working alongside Purple Violet Business Support on agreed business tasks.
The client can rearrange a Focus & Accountability session with at least 48 hours’ notice. Missed sessions, late attendance or cancellations with less than 48 hours’ notice may be charged in full.
6. Sift & Sort Inbox Clear-Up
Sift & Sort Inbox Clear-Up is a one-off inbox reset service. The exact scope of the service will be agreed before work begins.
The service may include reviewing, sorting, filing, flagging and organising emails according to the agreed instructions. It does not include legal, financial, clinical or other professional advice about the content of emails.
The client remains responsible for checking any important emails, decisions, deadlines and actions identified during the inbox clear-up.
7. Access To Work Support
Where support is funded through Access to Work, the client is responsible for ensuring that the support requested is covered by their Access to Work award and any agreed Statement of Work.
Purple Violet Business Support will submit invoices and timesheets to the client, or as otherwise agreed. The client is responsible for uploading or submitting them to Access to Work promptly where this is required.
Purple Violet Business Support is not responsible for delays caused by the Department for Work and Pensions. The client is not responsible for DWP processing delays where the client has submitted the required information promptly.
If payment is delayed because the client has not submitted invoices, timesheets or information to Access to Work, Purple Violet Business Support may suspend further work until the issue is resolved.
Any work, time or services requested by the client that are outside the Access to Work award or not approved by Access to Work will be payable by the client, if agreed in advance.
8. Invoicing And Payment
Invoices are usually issued in advance unless otherwise agreed in writing. Payment is due before work starts, unless a different payment date is agreed in writing.
Payments can be made by BACS. Payment details will be provided on the invoice.
If payment is not received by the due date, Purple Violet Business Support may pause or stop work until payment is received. Purple Violet Business Support may refuse to release completed work while invoices remain unpaid.
Late payments may accrue interest at 8% above the Bank of England base rate, calculated in line with applicable late payment rules. The client may also be responsible for reasonable costs of recovering unpaid sums.
9. Expenses And Third-Party Costs
Purple Violet Business Support does not deal with client expenses as standard and is not authorised to incur expenses on behalf of the client unless this has been expressly agreed in writing in the Business Agreement or Statement of Work.
Where a task requires a paid tool, subscription, supplier, software, printing, postage, advertising cost or other third-party cost, the client will usually pay the provider directly.
Any exceptional arrangement for Purple Violet Business Support to incur a cost on behalf of the client must be agreed in writing before the cost is incurred.
10. Cancellations, Rearranging Work And Delays
The client should give as much notice as possible if they need to cancel or rearrange agreed work, meetings or sessions.
A minimum of 24 hours’ notice is required for standard meetings or calls. Missed meetings, late cancellations or cancellations without sufficient notice may be charged at the agreed rate or may incur a £40 administration fee.
If the client causes delays, changes the brief, changes previously approved work, requires additional meetings or requests work outside the agreed scope, Purple Violet Business Support may charge for the additional time and may extend the timescale for completion.
11. Changes To Services
Any material changes to the agreed services, schedule, deliverables or fees must be approved in writing before the changes take effect.
Work already completed before the change will be charged at the rate previously agreed. Additional work will be charged at the rate agreed for the changed work.
12. Office Hours And Communication
Usual office hours are Monday to Thursday, 9.30am to 2.30pm, unless otherwise agreed in writing.
Availability may vary around school holidays, annual leave, personal commitments or existing client bookings.
Email is the main form of communication. Calls and online meetings must be booked in advance. Calls lasting over 10 minutes may be billed to the client unless they form part of an agreed session or support arrangement.
Unavailable days or times will be advised where they affect agreed client work.
13. Location Of Services
Services are usually provided remotely by email, phone, video call, cloud systems or other virtual means from Purple Violet Business Support’s place of business in Wakefield, West Yorkshire.
On-site work is not included as standard and is not guaranteed. Any on-site work must be agreed in writing in advance and will depend on availability, location, the nature of the work, access requirements, insurance and suitability. Where on-site work is agreed, travel time, mileage, parking and any safety or access arrangements must be agreed in writing before the visit takes place.
14. Client Materials And Information
The client is responsible for providing the information, access, content, files, images, passwords, instructions and approvals needed for Purple Violet Business Support to complete the agreed work.
The client is responsible for making sure that all information provided is accurate, complete, lawful and that they have the right to use and share any content, images, files, personal data or materials supplied.
Purple Violet Business Support is not responsible for delays caused by missing, incomplete, unclear or inaccurate information from the client.
15. Data Protection And GDPR
Both parties must comply with their own obligations under applicable data protection law, including the Data Protection Act 2018, UK GDPR and any other relevant data protection legislation.
Purple Violet Business Support is registered with the Information Commissioner’s Office under registration number ZA410903.
Where Purple Violet Business Support processes personal data on behalf of the client, a separate Data Processing Agreement may be required before work begins. The Data Processing Agreement sets out the parties’ responsibilities, including personal data handling, security, data protection complaints, data subject requests, breach reporting, retention, deletion and assistance with the client’s obligations.
The client remains responsible for deciding the purpose and lawful basis for processing personal data where the client is the data controller.
16. AI Disclosure
Purple Violet Business Support may use digital tools, automation tools and artificial intelligence tools to support some business tasks where appropriate.
Any use of AI tools is subject to the AI Disclosure clause in the relevant Business Agreement or Access to Work Business Agreement. Purple Violet Business Support remains responsible for reviewing, checking and overseeing work before it is provided to the client.
Personal data will not be entered into AI tools unless this has been agreed in writing with the client and handled in line with the relevant Business Agreement and Data Processing Agreement.
The client may ask whether AI tools have been used for a particular task and, where reasonable, Purple Violet Business Support will explain how they were used.
17. Confidentiality
Purple Violet Business Support will keep the client’s confidential information private and will not use or disclose it except where needed to provide the agreed services, where the client has given consent, or where disclosure is required by law.
Confidentiality obligations do not apply to information that is already public, was already known lawfully, was received from another lawful source without a duty of confidentiality, or becomes public through no fault of Purple Violet Business Support.
18. Passwords And Account Access
If the client provides Purple Violet Business Support with access to accounts, platforms, inboxes, systems or passwords, the client remains responsible for ensuring that access is appropriate and authorised.
The client should use secure methods to share access wherever possible, such as password managers, user permissions or delegated access. Purple Violet Business Support is not responsible for security issues caused by the client’s own systems, settings, password sharing or failure to remove access when no longer required.
19. File Backup And Storage
Purple Violet Business Support may store client files and information using secure cloud storage, business systems and privacy settings appropriate to the work being carried out.
The client should keep their own copies and backups of important files. The client should tell Purple Violet Business Support in advance if they have specific requirements for how files should be stored, handled or returned.
20. Completed Work, Proofreading And Client Approval
Completed work may be returned by email, cloud sharing, post, courier or another agreed method.
The client is responsible for reviewing and approving completed work, including checking accuracy, facts, spelling, grammar, links, legal wording, financial figures and final suitability before publication or use.
Purple Violet Business Support will take reasonable care to provide accurate work but does not accept liability for errors after the client has approved or published the work. Where an error is identified, Purple Violet Business Support’s responsibility will usually be limited to correcting the work.
21. Ownership And Intellectual Property
The client will usually own the final work product created specifically for them once all relevant invoices have been paid, unless otherwise agreed in writing.
Purple Violet Business Support retains ownership of its own pre-existing templates, methods, processes, systems, know-how, training materials and internal ways of working.
The client must not resell, share, copy or adapt Purple Violet Business Support’s own templates, processes, resources or materials unless permission has been given in writing.
22. Subcontracting
Purple Violet Business Support may use trusted subcontractors or third-party providers where appropriate, but remains responsible for the work provided to the client.
Where subcontractors are used for work involving personal data or confidential information, appropriate confidentiality and data protection arrangements will be put in place.
23. Independent Contractor Relationship
Purple Violet Business Support works as an independent contractor. Nothing in the Business Agreement, Statement of Work or these terms creates an employment, partnership, joint venture or agency relationship between the client and Purple Violet Business Support.
The client will not provide employee benefits, including paid holiday, sick pay, pension contributions or other employment benefits.
24. Liability And Insurance
Purple Violet Business Support holds Professional Indemnity insurance and Public Liability insurance. Details are available on request.
Purple Violet Business Support will not be liable for indirect, consequential, special or incidental losses arising from the agreed services. Total liability will not exceed the fees paid or payable by the client for the relevant services during the 12 months before the claim, unless the law says liability cannot be limited.
Nothing in these terms limits liability where it would be unlawful to do so.
25. Loss Or Damage In Transit
Purple Violet Business Support is not responsible for loss, damage or theft of data, documents, equipment or items while they are in transit to or from Purple Violet Business Support.
Where physical items are sent, clients should use a secure postal or courier service, keep copies where possible and obtain proof of postage and appropriate insurance.
26. Force Majeure
Purple Violet Business Support shall not be considered in breach of the Business Agreement or these Terms to the extent that performance of its obligations is prevented, delayed or made impracticable by an event of Force Majeure.
Force Majeure includes, but is not limited to: natural disasters, including fires, explosions, earthquakes, drought, tidal waves and floods; war, hostilities, invasion, acts of foreign enemies, mobilisation, requisition or embargo; rebellion, revolution, insurrection, military or usurped power, or civil war; contamination by radioactivity from nuclear fuel or nuclear waste; radioactive, toxic, explosive or other hazardous properties of any nuclear assembly or component; riot, civil commotion, strikes, go-slows, lock-outs or disorder; serious illness, accident, bereavement, family emergency, power failure, internet outage, software failure, cyber incident, government action, pandemic or any other emergency outside reasonable control.
27. Complaints And Disputes
If the client has a concern about the services provided, they should raise it with Purple Violet Business Support as soon as reasonably possible so that the issue can be reviewed and, where appropriate, resolved.
The parties will try to resolve disputes through discussion in the first instance. If a dispute cannot be resolved informally, the parties may agree to use mediation or another appropriate dispute resolution process.
These terms and any Business Agreement are governed by the laws of England and Wales. Unless another dispute resolution process is agreed, the courts of England and Wales will have exclusive jurisdiction.
28. Amendments And Waivers
Any changes to these terms or to a Business Agreement must be agreed in writing. A delay in enforcing any term does not mean that the right to enforce it has been waived.
29. Severability
If any part of these terms is found to be invalid or unenforceable, the remaining terms will continue to apply.
The parties will try to replace the invalid or unenforceable term with one that reflects the original intention as closely as possible.
30. Counterparts And Electronic Agreement
Any Business Agreement, Statement of Work or related agreement may be signed electronically and in counterparts. Each signed copy will be treated as an original and together they will form one agreement.
